Terms of Service

These Terms of Service (the “Terms”) are a binding contract between you and SignUpGo, Inc. (“SignUpGo”, “we”, “us”, or “our”), the operator of the SignUpGo platform located at signupgo.com and related subdomains, mobile surfaces, and services (collectively, the “Service”).

By creating an account, clicking “I agree,” or otherwise accessing the Service, you agree to these Terms, our Privacy Policy, and, if applicable, any order form or Data Processing Addendum that references these Terms. If you do not agree, do not use the Service.

Section 15 contains an arbitration agreement and class-action waiver that affects your legal rights. Please read it carefully.

1. Who May Use SignUpGo

You must be at least 18 years old (or the age of majority where you live) to create an account. You are responsible for ensuring that everyone on your “Team” (each person you invite as an Owner, Admin, Teacher, Staff, or Volunteer) complies with these Terms.

SignUpGo is designed for K–12 schools, youth sports organizations, PTAs, booster clubs, nonprofits, and similar entities (each, a “Customer”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

Children. SignUpGo is not directed to children under 13. Our Service is operated by educators and organizers on behalf of their community; any information we receive about a child is collected by the Customer under parental consent pursuant to COPPA and FERPA. See our Privacy Policy for details.

2. Accounts & Security

When you create an account you must provide accurate, complete, and current information, keep it up to date, and safeguard your password. You are responsible for everything that happens under your account unless it results from our breach of these Terms.

Notify us at support@signupgo.com promptly if you suspect unauthorized access. We may suspend or terminate any account that appears to be compromised, abusive, or in breach of these Terms.

3. Your Content & License

“Customer Data” means everything you or your attendees submit through the Service — event details, rosters, uploaded files, attendee names and emails, donation messages, survey responses, payment records, and the like.

You own your Customer Data. You grant SignUpGo a worldwide, non-exclusive, royalty-free license to host, reproduce, display, transmit, and create derivative works of Customer Data solely as reasonably necessary to (a) provide and operate the Service, (b) prevent or address abuse and security issues, (c) comply with law, and (d) produce aggregated or de-identified analytics that do not identify you, your organization, or any individual.

Attendee data. When you use the Service to collect signups, donations, or tickets, you are the data controller for that information under applicable privacy law. You must have lawful basis to collect it, provide required notices to attendees, and honor their rights (access, deletion, etc.). We will reasonably assist you in doing so.

4. Acceptable Use

You will not, and will not permit anyone else to:

  • use the Service for anything illegal, fraudulent, harassing, or deceptive;
  • collect sensitive data (Social Security numbers, full payment card numbers outside Stripe, government IDs, health records, etc.) except where the Service explicitly supports it;
  • upload malware, run security probes, or attempt to circumvent rate limits, access controls, or authentication;
  • reverse engineer, resell, white-label, or create a competing service from the Service, except as permitted by a written agreement with us;
  • send unsolicited commercial email or SMS through the Service;
  • use the Service to distribute content that is defamatory, obscene, infringes another person’s rights, or is inappropriate for a school audience; or
  • impersonate another person or organization.

We may remove content or suspend the Service without notice if we reasonably believe it violates this Section.

5. Plans, Trials & Free Tier

The Service is offered in tiers (Free, Starter, Sports, School, District, and add-ons such as the Weekend Pass). Current plan features and limits are listed at signupgo.com/pricing and apply at the time you purchase. We may change plan features, limits, or pricing on 30 days’ notice; changes take effect at the start of your next billing period.

We may offer a limited-time introductory subscription trial (for example, 14 days) through Stripe Checkout when your workspace meets milestones we publish in the product (such as publishing multiple live events or reaching a signup volume threshold). Trials are one per workspace unless we say otherwise. Stripe may collect a payment method during checkout; you are not charged the subscription price until the trial ends unless you cancel first in the billing portal. Trials are provided “as-is” and may be terminated or modified at our discretion. If you do not add a valid payment method or your first charge fails after a trial, your workspace may lose paid features until you complete checkout successfully.

6. Fees, Taxes & Auto-Renewal

Subscriptions. Paid plans are billed in advance, monthly or annually as selected. Unless you cancel, your subscription automatically renews for successive terms of the same length. Renewals are charged at the then-current standard rate for your plan.

Platform fees. Tickets, merchandise, and donations processed through the Service are subject to SignUpGo platform fees disclosed on the Pricing page (currently 5.4%–6.4% + $0.45–$0.50 per transaction, depending on plan) in addition to Stripe’s processing fees. You may choose to pass these fees to the buyer.

Taxes. Fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, and similar taxes. If we are required to collect them, they will appear on your invoice.

Late payment. If a payment fails, we may retry the charge, downgrade your account, or suspend access after reasonable notice. Amounts overdue more than 30 days accrue interest at 1.5% per month (or the maximum permitted by law, if lower).

7. Cancellation & Refunds

Subscriptions. You can cancel at any time from Settings → Plan & Billing. Cancellation stops future renewals but does not automatically refund the current term. Monthly plans are non-refundable once the month has begun. For annual plans, we will refund a pro-rated portion of the unused term if you cancel within the first 30 days of a new annual term; after 30 days, annual subscriptions are non-refundable.

One-time purchases (e.g. Weekend Pass, messaging credit top-ups, spirit-wear design packages) are non-refundable once delivered or activated, except as required by law.

Attendee refunds (tickets & donations). Refund policies for tickets and donations are set by you, the Customer. SignUpGo provides tools to issue refunds through Stripe; we do not independently refund attendees for your events, but we will reasonably assist if you ask.

8. Payments, Stripe & Payouts

Ticket, merchandise, and donation payments are processed by Stripe, Inc. under Stripe’s Connected Account Agreement and Services Agreement. By using payment features, you accept those terms and authorize SignUpGo to deduct platform fees and route net proceeds to your connected Stripe account.

We are not a bank. Stripe holds payment balances and determines payout timing. We do not take custody of your funds beyond the brief period Stripe holds them before payout. You, not SignUpGo, are the merchant of record for events, tickets, merchandise, and donations you publish.

Disputed charges, chargebacks, and associated fees are your responsibility. If a chargeback exceeds your Stripe balance, SignUpGo may invoice you for the shortfall.

9. SMS, Email & Messaging Credits

If you use messaging features, you represent that (a) every recipient consented to receive email or SMS from you in compliance with CAN-SPAM, TCPA, CASL, and applicable local law, (b) you will include required opt-out language, and (c) you will honor unsubscribe and STOP requests promptly. Messaging credits are one-time use, do not roll over beyond the billing period shown in your dashboard, and are non-refundable.

10. Service Availability & Support

We aim to keep the Service available 24/7 but do not guarantee uninterrupted operation. We may perform scheduled maintenance and announce it in-app or by email when possible. Paid plans include the support response targets published on our Pricing page. Free plan support is community-based and best effort.

11. Modifications to the Service

We are continuously improving the Service. We may add, modify, or remove features at any time. Where a change materially reduces functionality on a paid plan, we will give at least 30 days’ notice and, at your option, offer a pro-rated refund for the remainder of your paid term.

12. Third-Party Services

The Service integrates with third parties (Stripe, ClickSend, Google, Mailgun/Postmark, MongoDB Atlas, Sentry, Cloudinary, and others). Their terms and privacy policies govern your use of their services. We are not responsible for third-party services, but we select providers with reasonable care and will tell you who our sub-processors are on request.

13. Disclaimers & Warranty Limits

The service is provided “as is” and “as available.” To the maximum extent permitted by law, SignUpGo and its affiliates, officers, employees, and suppliers disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free service, and the accuracy or completeness of any content or data.

14. Limitation of Liability

To the maximum extent permitted by law, SignUpGo’s aggregate liability for all claims arising out of or relating to these Terms or the Service in any 12-month period is limited to the greater of (a) the amounts you paid SignUpGo for the Service in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).

In no event will SignUpGo be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, goodwill, or data; the cost of cover; or damages arising from third-party services or unauthorized access to Customer Data not caused by our breach, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions our liability is limited to the maximum extent permitted by law.

15. Governing Law, Disputes & Arbitration

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Before filing any claim, we both agree to try to resolve the dispute informally. You can reach us at legal@signupgo.com; we will work in good faith for at least 30 days.

Binding arbitration. If we cannot resolve a dispute informally, you and SignUpGo agree that any claim will be resolved by final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in Wilmington, Delaware or, at your election, by telephone or video. Judgment on the award may be entered in any court with jurisdiction.

Class-action waiver. You and SignUpGo agree to bring claims only in an individual capacity, not as a plaintiff or class member in any purported class, consolidated, or representative action.

Opt-out. You may opt out of this arbitration agreement by emailing legal@signupgo.com within 30 days of first accepting these Terms; include your account email and the phrase “Arbitration Opt-Out.”

Exceptions. Either party may bring an individual claim in small-claims court or seek injunctive relief for infringement or misuse of intellectual property in any court of competent jurisdiction.

16. Intellectual Property

The Service, including its software, design, “look and feel,” and all logos, names, and trademarks (“SignUpGo,” “SchoolConferenceGo,” and related marks) is and remains the exclusive property of SignUpGo and its licensors. Nothing in these Terms transfers ownership. Feedback you send us may be used by us without restriction or compensation.

17. Termination

By you. You may stop using the Service at any time and cancel your subscription from the dashboard.

By us. We may suspend or terminate your account or the Service, with or without notice, if you breach these Terms, fail to pay, or create risk to SignUpGo, other customers, attendees, or third parties. We may also discontinue the Service on 90 days’ notice.

Data after termination. For 30 days after termination you may export your Customer Data from the dashboard or by emailing support@signupgo.com. After that 30-day window we may delete Customer Data except where we are required to retain it by law.

18. Export, Sanctions & Government Use

You agree not to use the Service in any country subject to comprehensive US embargo or on any US government denied-party list. If you are a US federal, state, or local government entity, these Terms are offered “as-is” and any rights granted to the government are limited to those specified in FAR 12.212 and DFARS 227.7202.

19. Changes to These Terms

We may update these Terms from time to time. If a change is material we will give at least 30 days’ notice by email or an in-app banner before it takes effect. Continued use of the Service after the effective date of a change means you accept the updated Terms.

20. Miscellaneous

These Terms, the Privacy Policy, and any order form you sign constitute the entire agreement between you and SignUpGo and supersede prior agreements on the same subject. If any provision is found unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, or agency.
